Board Minutes Auditors Actually Need

Audit request lists often ask for 'all board minutes.' That invitation produces binders of marketing updates and office lease renewals that do not change the opinion. Focus the pack on decisions that touch capital, provisioning, related parties, and regulatory filings.

Include the audit committee or risk committee minutes where credit loss assumptions, AML findings, or safeguarding breaches were discussed. Those pages tell us what management already knew and when.

For related-party transactions — common in group-backed fintechs — attach the approving resolution and the fee schedule. Verbal approvals noted only in chat threads do not meet our evidence standard.

If the board received a regulatory inspection letter during the year, include the letter and the remediation tracker. We treat open remediation items as potential subsequent events or contingent liabilities depending on status at year-end.

Keep minutes in chronological order with clear attendance lists. Missing attendance for a quorum-sensitive capital decision is something we must raise in the management letter even when the numbers themselves are correct.
